Welcome to Soulhaven. These Terms & Conditions ("Terms") govern your access to and use of our website at https://neverabandonyourself.com (the "Site"), and your purchase of or participation in our digital products, eBooks, courses, coaching programs, retreats, events, and related services (collectively, the "Services").
These Terms are a binding agreement between you and Soulhaven LLC ("Company," "we," "our," or "us"). By accessing or using the Site, submitting a form, subscribing to our communications, or purchasing any Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.
If you do not agree to these Terms, please do not use the Site or the Services.
1. Eligibility
You must be at least 18 years of age to use the Site, submit information through the Site, or purchase any Service. The Site and Services are not directed to children under the age of 13, and we do not knowingly collect personal information from children under 13.
By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
2. Account Registration
Certain Services may require you to create an account. When you create an account, you agree to:
Provide accurate, current, and complete information
Maintain and promptly update your information
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activity that occurs under your account
Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate any account at our discretion, including where we reasonably believe these Terms have been violated.
3. Products and Services
Soulhaven offers a range of products and services, which may include:
Free and paid digital downloads, eBooks, guides, and journals
Online courses and educational programs
One-on-one and group coaching
Retreats, live events, and workshops
Membership or subscription programs
Creative and agency services offered through Soulhaven Creative
Descriptions, availability, formats, schedules, and pricing of Services are subject to change without notice. We reserve the right to modify, suspend, or discontinue any Service at any time.
4. Purchases, Pricing, and Payment
All prices are listed in U.S. Dollars unless otherwise stated. By placing an order, you agree to pay the full amount listed at checkout, including any applicable taxes and fees.
Payments are processed by third-party payment processors such as Stripe or PayPal. We do not directly store complete payment card information. Your use of a payment processor is subject to that processor's own terms and privacy policy.
You represent that you are authorized to use the payment method you provide. If a payment fails, is reversed, or is charged back, we may suspend or revoke your access to the applicable Service.
We reserve the right to correct pricing errors, refuse or cancel any order, and limit quantities, including after an order has been submitted.
5. Subscriptions and Recurring Payments
Where a Service is offered on a subscription or installment basis:
You authorize us to charge your payment method on a recurring basis until you cancel
Subscriptions renew automatically at the then-current rate unless cancelled
You may cancel at any time by contacting us at the address in Section 17 or through any self-service option provided
Cancellation takes effect at the end of the current billing period unless otherwise stated
Payment plans for programs, coaching, or retreats represent a commitment to the full program price, and remaining installments remain due unless we agree otherwise in writing
6. Refund Policy
Digital products, eBooks, guides, and downloads: Because these are delivered instantly and cannot be returned, all sales are final and non-refundable unless otherwise stated at the point of purchase.
Courses and programs: Refund eligibility, if any, will be stated on the applicable sales page or enrollment agreement at the time of purchase. Where no refund policy is stated, sales are final.
Coaching: Coaching fees are non-refundable once a program has begun. Sessions cancelled with less than 24 hours' notice may be forfeited.
Retreats and live events: Deposits and registration fees are non-refundable and non-transferable unless otherwise stated in the event's own terms, due to advance commitments made on your behalf. We strongly encourage participants to obtain travel insurance.
If any specific offer, sales page, or enrollment agreement states a refund policy that differs from this section, that specific policy governs that purchase.
7. Coaching, Wellness, and Educational Disclaimer
Please read this section carefully.
Our Services are educational, informational, and personal-development in nature. They are not medical care, mental health treatment, psychotherapy, counseling, crisis intervention, diagnosis, or a substitute for professional care of any kind.
We are not licensed physicians, psychologists, psychiatrists, therapists, dietitians, attorneys, or financial advisors, and nothing offered through the Site or Services constitutes medical, psychological, legal, or financial advice.
You should always seek the advice of a qualified licensed professional regarding any physical or mental health condition, and you should never disregard or delay seeking professional advice because of something you read or received from us.
If you are experiencing a medical or mental health emergency, contact your local emergency services immediately. In the United States, you can call or text 988 to reach the Suicide & Crisis Lifeline.
You acknowledge that participation in coaching, programs, retreats, and related activities is voluntary, that you are solely responsible for your own choices and wellbeing, and that you participate at your own risk.
8. No Guarantee of Results
Any examples, testimonials, case studies, or descriptions of outcomes shared through the Site or Services are illustrative only and are not a guarantee, promise, or warranty of results.
Individual results depend on many factors outside our control, including your own effort, circumstances, health, and consistency. We do not guarantee any specific personal, emotional, professional, or financial outcome.
9. Email Communications
By providing your email address, you agree that we may contact you regarding your inquiries, purchases, applications, appointments, and account, and may send newsletters, educational content, and marketing communications where permitted.
You may unsubscribe from marketing emails at any time using the unsubscribe link included in our emails or by contacting us directly. Unsubscribing from marketing does not prevent us from sending transactional, administrative, or service-related messages necessary to provide the Services you have requested.
10. SMS and Text Message Communications
SMS Consent. If you provide your mobile phone number and separately consent to receive text messages, you agree to receive SMS messages from Soulhaven LLC at the number provided, including messages sent using an automatic telephone dialing system.
Consent is not a condition of purchase. Your consent to receive SMS messages is not required to purchase any product or service, and is not a condition of receiving any free resource offered on the Site.
Message types may include:
Confirmation and delivery of requested resources
VIP application status and updates
Coaching consultation scheduling
Appointment confirmations and reminders
Customer support responses
Program, retreat, and event information
Promotional offers and announcements
Message Frequency. Message frequency varies depending on your activity and where you are in our process.
Message and Data Rates. Message and data rates may apply. These charges come from your mobile carrier and are your responsibility. Contact your carrier for details about your plan.
How to Opt Out. You may opt out at any time by replying STOP to any text message you receive from us. After you send STOP, we will send a single confirmation message, and you will receive no further SMS messages from that messaging program unless you subsequently opt in again.
How to Get Help. For assistance, reply HELP to any message from us, or contact us using the information in Section 17.
Consent Is Specific. Consent to receive one type of message does not automatically constitute consent to receive other types. Where required, we will request SMS consent separately from the collection of your telephone number.
Mobile Information Privacy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing with subcontractors in support services, such as customer service, is permitted where necessary to provide the requested services. All other categories of information described in our Privacy Policy exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties, excluding aggregators and providers of the text messaging services. We do not sell, rent, or exchange your SMS opt-in information or consent for marketing purposes.
Carrier Liability. Mobile carriers are not liable for delayed or undelivered messages.
Number Changes. You agree to notify us if you change or deactivate the mobile number you provided.
11. Intellectual Property
All content on the Site and within the Services — including text, graphics, logos, images, audio, video, downloadable materials, course content, workbooks, journals, program frameworks, and software — is owned by or licensed to Soulhaven LLC and is protected by copyright, trademark, and other intellectual property laws.
Limited License. When you purchase or access a Service, you receive a limited, personal, non-exclusive, non-transferable, revocable license to access and use that content for your own personal, non-commercial use.
You may not:
Copy, reproduce, republish, distribute, or publicly display our content
Resell, sublicense, share, or transfer access to any paid Service
Record, screenshot for redistribution, or transcribe coaching sessions, programs, or events without our prior written consent
Use our content to create derivative or competing products or programs
Remove or alter any copyright, trademark, or proprietary notice
Use automated tools to scrape, mine, or extract content from the Site
"Soulhaven," our logo, and our program names and marks are our trademarks and may not be used without our prior written permission.
12. User Content
If you submit content to us or through the Site — including testimonials, reviews, comments, survey responses, or materials shared in a program or community — you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, adapt, and display that content in connection with our business, including for marketing purposes.
You represent that you own or have the rights to any content you submit, and that it does not infringe the rights of any third party.
We may remove any user content at our discretion.
13. Community and Program Conduct
Where Services include group programs, communities, retreats, or live events, you agree to:
Treat all participants, facilitators, and staff with respect
Maintain the confidentiality of what others share; what is shared in the group stays in the group
Refrain from harassment, discrimination, abusive conduct, or unsolicited promotion or recruitment
Follow reasonable instructions from facilitators and venue staff
We reserve the right to remove any participant from a program, community, or event for conduct we determine to be disruptive, harmful, or in violation of these Terms, without refund.
14. Prohibited Uses
You agree not to use the Site or Services to:
Violate any applicable law or regulation
Infringe the intellectual property or privacy rights of others
Transmit malware, viruses, or harmful code
Attempt to gain unauthorized access to the Site, our systems, or other users' accounts
Interfere with or disrupt the operation of the Site
Impersonate any person or entity or misrepresent your affiliation
Send unsolicited commercial messages or spam
Collect information about other users without their consent
15. Third-Party Links and Services
The Site may contain links to third-party websites, services, platforms, or applications. We are not responsible for the content, privacy practices, security, or policies of any third party.
Links are provided for convenience only and do not constitute endorsement. We encourage you to review the terms and privacy policies of any third party before providing them with your information.
16. Disclaimers and Limitation of Liability
Disclaimer of Warranties. The Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.
Limitation of Liability. To the fullest extent permitted by law, Soulhaven LLC and its owners, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or relating to your use of the Site or Services.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
Assumption of Risk. You voluntarily assume all risks associated with your participation in our Services, including any in-person retreat, event, or activity.
17. Indemnification
You agree to indemnify, defend, and hold harmless Soulhaven LLC and its owners, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party.
18. Termination
We may suspend or terminate your access to the Site or any Service at any time, with or without notice, for any reason, including violation of these Terms.
Upon termination, your right to access the Services ceases immediately. Sections relating to intellectual property, user content, disclaimers, limitation of liability, indemnification, and governing law survive termination.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict of law principles.
Informal Resolution. Before filing any claim, you agree to contact us and attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days.
Venue. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts.
20. Changes to These Terms
We may update these Terms from time to time to reflect changes to our Services, technology, legal requirements, or operational considerations. When we make changes, we will update the "Last Updated" date at the top of this page.
Your continued use of the Site or Services after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
21. Miscellaneous
Severability. If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Entire Agreement. These Terms, together with our Privacy Policy and any specific program or enrollment agreement, constitute the entire agreement between you and us regarding the Site and Services.
Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
